YOUR TASKS AND RESPONSIBILITIES


  • Legal research: conduct legal research and analysis on various matters including, case law, industry standards, and provide concise information to the legal team and organization on assigned and relevant topics. Beyond those core areas relevant for all businesses, the tasks and required legal expertise will include: Appetite to learn Company Law. Appetite to learn Access, Pricing and Reimbursement Law. Appetite to learn Pharmaceutical (including Regulatory) Law. Appetite to learn Drug Advertising Law. Appetite to learn Code compliance. Appetite to learn agribusiness and seeds law.
  • Support in corporate governanceand money laundering legislation: Participate and collaborate directly with the Company Law BP to review and prepare required documents in order to comply with local annual obligations / appointments of board of management members, legal representatives / shareholders changes / mergers / winds ups / internal corporate reorganizations amongst others. The BP will also be in charge of the implementation (from the legal perspective) of money laundering requirements and terrorist finance management) ensuring legal compliance collaborating with the CFO / Risk team.
  • Training and development: participate in training and development programs to enhance awareness on various topics in the organization. Provide tailor-made training on relevant legal and compliance topics.
  • Contract Management: Drafting, reviewing, revising, analysing, and negotiating local contracts outside the scope of Contract Centre e.g., collaboration agreements in the areas of development, sales and marketing, complex IT and tolling and procurement agreements and other cooperation agreements with third parties under the supervision of the local LPC BP.
  • Working closely and support the LPC business partners of the team and the LPC head: work closely with LPC BPs to provide legal advice on specific projects, commercial agreements, legal research required , advice on new business models, direct /indirect tenders; reviews of market positions; interaction with competitors under executed agreements; interactions with all levels of the distribution chain, the digitalization of the local business, R&D, launch of new products, the protection of existing product licenses and business development projects in the respective countries.
  • Review of commercial policies and assure compliance with law.
  • Review and approval of and advice on rebate and discount schemes etc. under a commercial policy, review and advice on deviations and advice on new distribution channels with the LPC BP coordination and supervision.
  • Obtain, update, and demonstrate knowledge of the business (business acumen) and /or relevant learning appetite for pharma, crop science and CH businesses.
  • Stay up to date with relevant laws and regulations. Attend virtual or presential meetings as required by the LPC Head.
  • Support the legal head: on legal topics and implementation of policies and procedures to ensure compliance with relevant laws and regulations. The business partner will lead and support any local and / or regional legal projects assigned by Head of LPC.
  • Collaboration with local LPC and Global Function.

WHO YOU ARE


  • Collegue Degree in Law school or 85% of the career already completed.
  • Advanced English speaker.
  • Previous experience in Comercial Law and/or Corporate Law
  • Strong knowledge of the substantive law applicable
  • Functional knowledge of other areas of law relevant to the role as company law, antitrust/competition law, consumer protection law, commercial law, contract and third-party liability in the region.
  • Strong desire to learn having a deep thirst for knowledge of the pharmaceutical /agribusiness.
  • Excellent analytical and problem-solving skills, with the ability to identify legal trends.
  • Familiarity with compliance-related legal regimes, including transparency (money laundering) and antitrust.
  • Ability to work autonomously with high mental agility, including the ability to prioritize workload and operate within a fast-paced business environment.
  • Ability to build relationships and influence at all levels, demonstrating a flexible approach to connect with colleagues in the broader organization and engage with multiple stakeholders to drive projects and cultural change.
  • Sound judgment, combined with the self-confidence and gravitas to identify, assess and control legal and compliance risk and deliver recommendations and effective advice on diverse legal and business matters.
